1. Acceptance of Terms and Updates
These Terms & Conditions (“Terms”) govern your access to and use of the Tendeal website, mobile applications, and marketplace services (collectively, the “Platform”). By accessing or using the Platform, creating an account, browsing listings, requesting quotations, or placing an order, you agree to be bound by these Terms and any policies referenced herein.
We may update these Terms from time to time. The “Last Updated” date indicates the latest version. Your continued use after changes constitutes acceptance of the updated Terms.
2. Operator and Contact Details
The Platform is operated by Altendeals for Electronic Commerce W.L.L (CR: 149178) (“Tendeal”, “we”, “us”), Zone 69, Building 43, Street 342, 5th Floor, Doha, Qatar, P.O. Box 10150.

3. Definitions
“User” means any person who accesses or uses the Platform.
“Buyer” means a User who purchases goods/services or issues RFQs.
“Vendor” means an independent seller/service provider offering goods/services on the Platform.
“Order” means a purchase order placed by a Buyer for goods/services.
“RFQ” means a request for quotation/Tender/bidding request posted by a Buyer inviting Vendors to submit bids/quotations.
“Bid/Quotation” means a Vendor’s response to an RFQ including price and terms.
“Award/Acceptance” means a Buyer’s selection of a Bid through the Platform.
“Business Day” means Saturday to Thursday excluding public holidays in Qatar.
“User Content” means content submitted by Users (reviews, ratings, photos, messages, etc.).
“Prohibited Items” means goods/services prohibited by law or by Platform rules (including counterfeit, unsafe, or IP‑infringing items, and any regulated items unless properly licensed).
4. Eligibility and Account Registration
You must be at least 18 years old to create an account or transact on the Platform. You must provide accurate information and keep it up to date. You are responsible for safeguarding your login credentials and for all activity under your account.
Verification (OTP/SMS/email): We may require verification of phone number and/or email. Delivery of verification codes may be affected by telecom networks or third parties and may be delayed or fail. You are responsible for maintaining access to your registered contact details. We may apply additional security checks, restrict features, or temporarily lock accounts to prevent fraud or unauthorized access.
We may suspend or terminate accounts for breach, misuse, suspected fraud, legal compliance, or risk management reasons.
5. Marketplace Role; Vendor Relationship
Tendeal provides a marketplace that connects Buyers and independent Vendors. When you place an Order or Award an RFQ, you contract directly with the Vendor. Tendeal is not the seller or provider of Vendor goods/services unless explicitly stated.
Vendor terms (including delivery, returns, warranties) may apply in addition to these Terms. Nothing in these Terms is intended to exclude or limit any non‑waivable rights you may have under applicable law.
6. Listings, Accuracy, Pricing Errors, Availability
Vendors are responsible for the accuracy of their listings, including descriptions, images, specifications, pricing, warranty terms, and availability. The Platform may display estimated availability and delivery times.
Errors: If an error in price, availability, or description is discovered, the Vendor and/or Tendeal (on the Vendor’s behalf) may cancel the affected transaction and refund amounts paid, or request reconfirmation where feasible. We may correct obvious errors.
7. Orders, Confirmations, Cancellations
An Order is created when you submit purchase details through the Platform. The Platform may issue an acknowledgement or confirmation message. A Vendor may accept, reject, or cancel an Order where permitted by law and Platform rules (e.g., out of stock, pricing error, suspected fraud).
Buyer cancellation: Cancellation rules depend on order status and Vendor policy as shown on the Platform. If cancellation is allowed, refunds are processed according to Section 11.
8. RFQ / Tender / Bidding Services
If the Platform offers RFQ, Tender, bidding, or quotation‑request features (“RFQ Services”), the following applies:
8.1 No order; non‑binding request: Posting an RFQ is not an Order and does not create a binding contract. A binding contract forms only when the Buyer issues an Award/Acceptance through the Platform (and completes any required confirmation or payment step) and the Vendor confirms where confirmation is required by the Platform workflow.
8.2 Bid rules; validity; withdrawal: Vendors must submit accurate Bids and honor them for the Bid Validity Period shown in the Platform or, if not shown, 3 Business Days. Vendors may withdraw or amend a Bid only before Award/Acceptance unless the Platform permits otherwise (in which case the Buyer may reject the amendment).
8.3 Buyer selection; no obligation to award: The Buyer may accept or reject any Bid, is not required to select the lowest price, and may use criteria such as delivery time, specifications, warranty, compliance, ratings, and availability. Tendeal may remove RFQs/Bids that violate law or Platform rules.
8.4 Fees and commissions: If RFQ Services involve any fees (success fees, lead fees, commission, subscription, etc.), the applicable fee and trigger event will be displayed in the Platform and incorporated by reference. Fees may be deducted from Vendor payouts where permitted.
8.5 Deposits / pre‑authorizations: Where deposits or pre‑authorizations apply, the Platform will disclose when amounts are captured or released. Refund timing may depend on banks/payment providers.
8.6 Communications and off‑platform restriction: RFQ negotiations and payments must remain within the Platform where capability exists. Off‑platform solicitation to avoid fees or protections is prohibited and may lead to suspension/termination.
8.7 Confidentiality and permitted use: RFQ details and data obtained through RFQ Services may be used only to evaluate and fulfill the RFQ and for lawful compliance. Misuse for unsolicited marketing, resale, or unlawful purposes is prohibited.
8.8 Anti‑manipulation: Collusion, sham bidding, self‑bidding, price manipulation, and deceptive practices are prohibited. Tendeal may investigate, remove RFQs/Bids, suspend accounts, and temporarily withhold payouts pending investigation or dispute resolution.
9. Promotions, Coupons, Credits, Referrals
Promotions and discount codes are subject to eligibility rules, expiry dates, minimum spend, usage limits, and anti‑abuse controls shown on the Platform. We may modify, revoke, or cancel promotions due to suspected fraud, misuse, errors, or legal compliance needs.
If an Order/RFQ transaction is refunded, any applied coupon/credit may be reversed or re‑issued according to the promotion rules.
10. Payments; Payment Gateway; Chargebacks
Payments may be processed through one or more third‑party payment gateways and methods displayed on the Platform. By providing a payment method, you authorize the charge for the transaction total (including taxes/fees where applicable).
Card details are processed by the payment gateway; Tendeal does not store full card numbers.
Chargebacks/reversals: If a chargeback, reversal, or payment dispute is initiated, we and/or the Vendor may suspend or cancel transactions and restrict accounts while investigating. You agree to provide reasonable information upon request for dispute verification.
11. Delivery, Proof of Delivery, Risk and Title
Vendors arrange delivery through their own logistics or third‑party couriers. Delivery times are estimates and may be affected by circumstances beyond control.
Address accuracy & failed delivery: You must provide a complete and accurate delivery address and contact details. If delivery fails due to inaccurate information, unavailability, refusal, or access restrictions, the Vendor/courier may return, cancel, or re‑deliver with additional fees as disclosed.
Proof of delivery: Delivery may be confirmed by signature, OTP, photo evidence, GPS confirmation, or other reasonable methods. You agree such confirmation may be used as evidence in disputes.
Unless mandatory law provides otherwise, risk and title pass from the Vendor to you upon delivery to your address or upon collection, as applicable.
12. Returns, Refunds, Disputes and Platform Actions
Returns/refunds: Eligibility, timelines, and procedures are determined by Vendor policy and the nature of goods/services, and must comply with applicable law. Where the Platform provides a return/refund request feature, you should submit requests through the Platform within the specified time and provide required evidence.
Refund method/timing: Refunds for gateway‑processed payments are returned to the original payment method. Timing depends on banks/payment providers. Non‑refundable fees may apply only where lawful and properly disclosed.
Disputes: Tendeal may facilitate communications and request information from both parties. While Tendeal is not an arbitrator, we may take Platform measures to protect users and the marketplace, including restricting features, removing listings, suspending accounts, or temporarily withholding Vendor payouts during investigations (e.g., fraud, chargebacks, repeated complaints, or legal risk).
13. User Content (Reviews, Ratings, Photos) and Moderation
You are responsible for User Content you submit. You grant Tendeal a non‑exclusive, worldwide, royalty‑free license to host, display, reproduce, and distribute User Content in connection with operating and promoting the Platform.
Fake or misleading reviews are prohibited. We may remove, disable, or moderate content that violates these Terms, our policies, or applicable law.
14. Messaging and Off‑Platform Transactions
If messaging/chat features exist, you must use them lawfully and respectfully. Harassment, illegal content, and soliciting off‑platform payments or transactions to avoid fees or protections are prohibited. We may retain and review messages for safety, fraud prevention, compliance, and dispute evidence in accordance with our Privacy Policy.
15. Acceptable Use
You must not: introduce malware; attempt unauthorized access; conduct DoS/DDoS attacks; violate laws; scrape data without permission; impersonate others; reverse engineer the Platform; disrupt normal operations; or misuse the Platform in any unlawful or harmful manner.
16. Prohibited Items; Vendor Compliance; Takedowns
Users and Vendors must not list, sell, or request Prohibited Items. Vendors are responsible for legal compliance (licensing/approvals), product safety, labeling, truthful advertising, and warranty disclosures.
We may remove content/listings, restrict access, suspend accounts, and request supporting documentation (CR, licenses, authenticity proof, etc.) where we reasonably believe there is a violation.
17. Intellectual Property
The Platform, software, trademarks, and content are owned by Tendeal or its licensors. We grant you a limited, revocable, non‑transferable license to access and use the Platform for personal, non‑commercial use. No rights are granted except as expressly stated.
18. Third‑Party Services
The Platform may include third‑party services, links, or content (payment gateways, couriers, etc.). We do not control and are not responsible for third‑party services. Your use of third‑party services is at your own risk and subject to their terms.
19. Electronic Communications and Notices
You agree to receive service communications electronically (email, SMS/OTP, in‑app notifications). Notices are deemed received when sent to your registered contact details or posted within the Platform.
20. Privacy and Cookies
Personal data is processed in accordance with our Privacy Policy and Cookies Policy, which form part of these Terms. We may share necessary data with Vendors, couriers, payment providers, and service providers to operate the Platform, fulfill transactions, prevent fraud, and comply with legal obligations.
21. Suspension and Termination
We may suspend or terminate access for breaches, suspected fraud, legal compliance, or risk management. We may change or discontinue features at any time. You may close your account by contacting support.
22. Disclaimers
Except as required by law, the Platform is provided “as is” and “as available”. We do not warrant uninterrupted or error‑free operation. Vendors are responsible for their goods/services. Mandatory legal rights are not affected.
23. Limitation of Liability; Indemnity
To the maximum extent permitted by law, Tendeal is not liable for indirect, incidental, special, consequential, punitive, or non‑economic damages. Nothing in these Terms excludes liability for fraud, willful misconduct, or any liability that cannot be excluded under applicable law.
You agree to indemnify and hold us harmless from claims arising from your breach, misuse, or disputes with Vendors.
24. Governing Law and Jurisdiction
These Terms are governed by the laws of the State of Qatar. Qatar courts have exclusive jurisdiction. Before filing a claim, the parties will attempt amicable settlement within 30 days of written notice.
25. International Use; Sanctions and Export Controls
You must comply with applicable sanctions and export‑control laws. We may restrict access where prohibited by law.
26. Miscellaneous
Severability: If any provision is invalid, the remaining provisions remain in effect.
No Waiver: Failure to enforce a right is not a waiver.
Assignment: You may not assign these Terms without our consent; we may assign to affiliates or in reorganization.
Entire Agreement: These Terms and referenced policies constitute the entire agreement relating to the Platform.
Language: If Arabic and English versions exist, the Arabic version prevails in case of conflict.
